Clearstream becomes Luxembourg control agent to enable tokenised fund share classes

Key points

  • Clearstream has been authorised as a control agent under Luxembourg's Blockchain Law IV, enabling it to support tokenised fund share class issuance on a permissioned DLT platform.
  • Asset managers can tokenise a single share class of an existing UCITS or AIF without replacing their transfer agent, administrator, custodian, or depositary.
  • Luxembourg fintech Investre received the first CSSF control agent approval in July 2025, positioning its model as a native tokenised fund approach that reduces reliance on the traditional intermediary chain.
  • Clearstream's model takes the opposite position, preserving the full conventional fund ecosystem and adding a DLT issuance and control layer beneath it.
  • Permitted holders on Clearstream's platform are limited to whitelisted securities accounts, reflecting a tightly permissioned structure rather than open on-chain access.

Clearstream, the post-trade arm of Deutsche Börse, announced it has been authorised as a control agent under Luxembourg’s Blockchain Law IV, giving asset managers a regulated route to tokenise individual share classes of existing funds without dismantling their current fund structures.

The model is deliberately conservative. Rather than requiring a manager to build a distributed ledger technology (DLT)-native fund from scratch, Clearstream’s approach allows a single share class within an existing UCITS or alternative investment fund (AIF) to be issued on a permissioned DLT platform while the transfer agent, administrator, custodian, and depositary remain unchanged. Permitted holders are restricted to whitelisted securities accounts, keeping the permissioning layer tightly controlled.

Clearstream is not the first institution to receive this authorisation. Luxembourg fintech Investre obtained the first CSSF approval in July 2025, though Investre positioned its model as a way to operate tokenised funds natively and bypass elements of the traditional intermediary chain. Clearstream is taking the inverse stance, arguing that preservation of the existing fund ecosystem is itself the value proposition, with DLT issuance inserted as an additional layer rather than a replacement. Philippe Mueller, Head of Digital Products and Transformation at Clearstream Fund Services, described the authorisation as a compliant, turn-key gateway that bridges conventional fund distribution and digital market infrastructure.
