BaFin Licenses Seturion as EU's First Exchange-Group DLT Settlement Platform

Key points

  • BaFin granted Seturion, a Boerse Stuttgart Group subsidiary, a DLT TSS licence under the EU DLT Pilot Regime, co-ordinated with ESMA and the ECB, making it the fifth such licence and the first for a European exchange group.
  • Seturion's structured-products chain includes Societe Generale as issuer, flatexDEGIRO as distributor to 3.5 million retail investors, SG Forge's EURCV and USDCV stablecoins for cash settlement, and Nasdaq Stockholm alongside Boerse Stuttgart as trading venues.
  • During the ECB's 2024 DLT settlement trials, Seturion tested central bank money settlement with six German banks, including Commerzbank, Deutsche Bank, DZ Bank, and LBBW.
  • The current DLT Pilot Regime volume cap of €6 billion per infrastructure is the active commercial constraint; the European Commission has proposed €100 billion under MISP, while EU finance ministers adopted €300 billion as their negotiating position.
  • No production launch date has been announced, meaning the licence is a regulatory foundation rather than confirmation of live operations.

Germany’s financial regulator BaFin has issued a DLT Trading and Settlement System (TSS) licence to Seturion, a subsidiary of Boerse Stuttgart Group, under the European Union’s DLT Pilot Regime. The process involved co-ordination with ESMA and the European Central Bank, making Seturion the fifth entity to hold a DLT TSS licence under the regime and the first to be affiliated with a European exchange group.

The licence provides the regulatory foundation for Seturion to operate as a pan-European digital settlement platform, with banks, brokers, and trading venues across Europe able to connect for tokenised settlement. The initial commercial focus is structured products, where a defined partner chain is already in place: Societe Generale plans to issue tokenised structured products, flatexDEGIRO will distribute them to its 3.5 million retail investors, SG Forge’s EURCV and USDCV stablecoins will handle the cash leg, and Nasdaq Stockholm joins Boerse Stuttgart’s own venue on the trading side. During the ECB’s 2024 DLT settlement trials, Seturion also tested central bank money settlement with six German banks, including Commerzbank, Deutsche Bank, DZ Bank, and LBBW. No production launch date has been announced.

The licence arrives at a commercially sensitive moment for the DLT Pilot Regime. The current volume cap of €6 billion per infrastructure is the binding constraint for a platform designed to aggregate flow from multiple venues. The European Commission has proposed raising that ceiling to €100 billion under its Market Integration and Supervision Package (MISP), while EU finance ministers have adopted €300 billion as their negotiating position. Where that negotiation lands will materially shape how much volume Seturion can realistically absorb, making the cap debate as consequential for the platform’s business case as the licence itself.
