Libeara acquires Zodia Markets Jersey to unlock intraday tokenised fund liquidity

Key points

  • Libeara is acquiring Zodia Markets (Jersey), which holds a Jersey investment dealing licence and VASP supervision, with the transaction pending regulatory approval.
  • CEO Aaron Gwak stated the primary purpose is enabling intraday liquidity so eligible investors can buy or exit tokenised fund positions between scheduled dealing windows.
  • Libeara's platform currently holds $810 million in assets, with ChinaAMC's tokenised fund classes accounting for more than $700 million of that total.
  • The VASP licence will allow Libeara to handle stablecoin on- and off-ramping directly for fund subscriptions and redemptions, a function currently managed through third-party partners in Singapore.
  • Both entities were founded by SC Ventures; Standard Chartered's stake in Zodia Markets was diluted to 60 percent in the last funding round, and the Jersey subsidiary was originally acquired from Elwood Technologies.

Libeara, the fund tokenisation platform established by Standard Chartered‘s SC Ventures, is acquiring Zodia Markets (Jersey) in a deal that remains subject to regulatory approval. The target entity holds a Jersey investment dealing licence and carries Virtual Asset Service Provider (VASP) supervision, two regulatory permissions that Libeara currently lacks in its own name.

The strategic logic, as stated by Libeara founder and CEO Aaron Gwak, centres on intraday liquidity for tokenised funds. A regulated dealer allows eligible investors to enter or exit positions between standard dealing windows rather than waiting for scheduled subscription or redemption cycles. The funds running on Libeara’s infrastructure include ChinaAMC’s tokenised share classes, which represent more than $700 million of the platform’s $810 million total, alongside the $103 million Bosera Liquidity Income Fund and a Delta Wellington money market fund.

The Jersey licence also extends Libeara’s geographic footprint beyond its Singapore regulatory base, giving it a credible offshore hub. The VASP supervision adds a further capability: direct stablecoin on- and off-ramping for fund subscriptions, redemptions, and secondary trading, for funds whose constitutional documents permit it. In Singapore that function is currently outsourced to partners, so the acquisition would bring it in-house under Libeara’s own regulated umbrella.

Both Libeara and Zodia Markets trace their origins to SC Ventures, though Standard Chartered’s stake in Zodia Markets was diluted to 60 percent in its most recent funding round. Zodia Markets had itself acquired the Jersey entity from Elwood Technologies two years ago for an over-the-counter crypto trading desk, meaning the licence has already travelled once before landing in Libeara’s proposed structure.
