ICE Partners With Trade[XYZ] to Bring Perpetual Futures Onshore as CME Sues CFTC

Key points

  • ICE has agreed to become the exclusive operator of a dedicated onshore market and clearing structure for perpetual futures through a partnership with Trade[XYZ], which currently deploys such contracts on the Hyperliquid blockchain.
  • The planned contracts would cover crypto, equities, indices, commodities, and foreign exchange, with access routed through futures commission merchants to KYC-verified customers.
  • CME Group sued the CFTC in June arguing that perpetual futures are swaps under Dodd-Frank, targeting the commission's approval of bitcoin perpetuals for Kalshi; ICE's Trade[XYZ] structure depends on the CFTC's futures classification holding up in court.
  • If courts rule perpetuals are swaps, the consequences include five-day margin periods instead of one, altered clearing requirements, and ordinary income taxation rather than the Section 1256 split of 60% long-term and 40% short-term capital gains.
  • ICE's broader 2024-2025 dealmaking follows a consistent template: minority stakes in OKX at a $25 billion valuation, a $1.6 billion Polymarket investment completed in March, and now Trade[XYZ], each pairing emerging market structures with ICE's regulated infrastructure.

Intercontinental Exchange (ICE) has agreed to bring perpetual futures markets into the United States through an exclusive partnership with Trade[XYZ], a deployer of perpetual futures on the Hyperliquid blockchain. Under the arrangement, ICE will operate a dedicated market and clearing structure, with KYC-verified customers gaining access via futures commission merchants. The contracts are expected to span crypto, equities, indices, commodities, and foreign exchange, and ICE is taking a minority stake in Trade[XYZ] as part of the deal.

This move fits a pattern ICE has pursued across several transactions this year. It invested in OKX at a reported $25 billion valuation and formed a joint venture that notified the Securities and Exchange Commission (SEC) in October of its intent to launch a tokenised securities venue under the innovation exemption. It licensed Brent crude and West Texas Intermediate (WTI) benchmark prices to OKX for offshore oil perpetuals. And in March it completed a $1.6 billion investment in the Polymarket prediction market. Each of these involves ICE taking a minority position while supplying regulated infrastructure around an emerging market structure.

The legal ground beneath the Trade[XYZ] partnership is actively contested. CME Group sued the Commodity Futures Trading Commission (CFTC) in June, arguing that perpetual futures meet the definition of swaps under the Dodd-Frank Act rather than futures, targeting the CFTC’s approval of bitcoin perpetuals for Kalshi. ICE’s entire structure depends on the CFTC’s classification standing. Speaking at the Ripple Swell conference, outgoing CME chief executive Terry Duffy said he would abide by a court ruling in favour of futures status but expressed scepticism that one would come. The classification carries real economic weight: swap treatment would impose five-day margin periods instead of one, different clearing requirements, and ordinary income taxation rather than the Section 1256 treatment afforded to futures, which splits gains 60% long-term and 40% short-term. Retail participants who have been filing perpetuals under the wrong classification could face reclassification tax bills depending on how the litigation resolves.
