Archax, the UK digital asset exchange, has secured FINRA approval for its US subsidiary Archax Markets, completing registration as a broker-dealer with the Securities and Exchange Commission (SEC). The firm expects to begin US operations before the end of September 2026, making this quarter the launch window. The approval arrives 17 months after Archax announced a plan to acquire Globacap’s existing US broker-dealer and alternative trading system (ATS), a deal that collapsed when fund administrator Apex Group bought Globacap last November, forcing Archax to pursue the slower path of a fresh application.

The regulatory clearance activates a specific distribution mechanic under SEC Rule 15a-6, which permits non-US brokers to sell securities to US institutional investors without separate SEC registration, as long as a registered US broker-dealer assumes responsibility for the transactions and record-keeping. Archax’s UK and Spanish entities, regulated by the Financial Conduct Authority (FCA) and Spain’s Comisión Nacional del Mercado de Valores (CNMV) respectively, can now channel tokenised private placements to US institutions through Archax Markets acting as chaperone. The structure is also open to other non-US brokers seeking the same US access.

The practical effect is a two-sided bridge: European tokenisation issuers gain a credentialled path into US institutional capital, and US allocators gain a regulated entry point to European tokenised product. The competitive backdrop is worth noting. Securitize, the largest US tokenisation firm, participates in the EU’s DLT Pilot Regime but has maintained a comparatively low European profile, leaving room for a firm positioned natively on both sides of the Atlantic to shape cross-border distribution norms.
